This page (together with the documents referred to on it) outlines the terms and conditions under which we supply any of the products (“Products”) listed on our website www.matrix-adhesives.com (“our Site”) to you. Please read these terms and conditions carefully and ensure that you understand them before placing an order. By ordering any of our Products, you agree to be bound by these terms and conditions.
You should print a copy of these terms and conditions for future reference.
Please click on the button marked “I Accept” at the end of these terms and conditions if you accept them. If you do not accept these terms and conditions, you will not be able to order any Products from our Site.

1. Information about us

1.1 “We” are 79 Below T/A Matrix Adhesives, a limited liability company registered in England and Wales. We operate the website www.matrix-adhesives.com. Our main trading address is:

2. Service availability
​
2.1 We accept orders only from addresses within the UK. But we still accept bulk orders from addresses outside the UK via email.

3. Your status
​
By placing an order through our Site, you warrant that:
(a) You are legally capable of entering into binding contracts
(b) You are at least 18 years old
(c) You are resident within the Service Area
(d) You are accessing our Site from within the Service Area.
4. How the contract is formed between you and us
​
4.1 After placing an order, you will receive an email acknowledging receipt of your order. This does not to confirm acceptance. Your order constitutes an offer from you to us to buy the Product(s).
4.2 All orders are subject to acceptance by us, which we will confirm by sending you an email stating that the Product(s) are in stock and ready for dispatch (“Dispatch Confirmation”). The contract between us (“Matrix Adhesives”) will be formed only when we send you the Dispatch Confirmation.
4.3 The Contract will apply only to the Products confirmed in the Dispatch Confirmation. We are not obliged to supply any other Products that may have been part of your order until their dispatch is confirmed in a separate Dispatch Confirmation.

5. Consumer rights
​
5.1 If you are contracting as a consumer, you may cancel a contract at any time within seven working days, beginning on the day after you received the Products. In this case, you will receive a full refund of the price paid for the Products in accordance with our refunds policy (see clause 9 below).
5.2 To cancel a Contract, you must inform us in writing. You must also return the Products to us immediately, unused and in the same condition in which you received them, and at your own cost. You have a legal obligation to take reasonable care of the Products while they are in your possession. Failure to comply with this obligation may result in a claim for compensation.
5.3 Details of your statutory right of cancellation and how to exercise it will be provided in the Dispatch Confirmation. This provision does not affect your other statutory rights as a consumer.
6. Availability and delivery

6.1 Provided payment has been received, your order will be fulfilled by the delivery date set out in the Dispatch Confirmation or, if no delivery date is specified, within a reasonable time unless exceptional circumstances arise.
6.2 If we are unable to process payment from your credit or debit card after sending the Dispatch Confirmation, we will contact you via email to inform you that payment failed, and the Product(s) will not be dispatched until payment is received.

7. Risk and title
​
7.1 Responsibility for the Products passes to you upon delivery.
7.2 Ownership of the Products passes to you only when full payment is received for all sums due, including the Products and any applicable delivery charges.

8. Price and payment
​
8.1 The prices of Products and delivery charges are as quoted on our Site unless a clear error is present.
8.2 Prices do not include VAT, which will be added to your total amount due at checkout if applicable. If the VAT rate changes between your order date and delivery date, we will adjust accordingly unless full payment was made before the VAT change took effect.
8.3 Product prices and delivery charges are subject to change, but any changes will not affect orders for which a Dispatch Confirmation has been sent.
8.4 Despite our best efforts, some Products may be incorrectly priced. If the correct price is lower than stated, we will charge the lower price upon dispatch. If the correct price is higher, we will contact you for instructions or reject your order and notify you.
8.5 If a pricing error is obvious and unmistakable, and could reasonably have been recognized by you as an error, we are not obliged to provide the Products at the incorrect price.
8.6 Payment for all Products must be made by credit or debit card. We will not charge your card until your order is ready for dispatch.

10. Warranty
​
We warrant that any Product purchased through our site will conform to its description, be of satisfactory quality, and be reasonably fit for purpose for three months from the date of delivery.

11. Our liability
​
11.1 Subject to clause 11.3, our liability is limited to the purchase price of the Products.
11.2 We are not liable for losses under these terms and conditions falling into the following categories:
(a) loss of income or revenue;
(b) loss of business;
(c) loss of profits;
(d) loss of anticipated savings;
(e) loss of data; or
(f) waste of management or office time.
This does not prevent claims for foreseeable loss or damage to physical property or other direct losses not excluded above.
11.3 We do not exclude liability for:
(a) death or personal injury caused by our negligence;
(b) fraud or fraudulent misrepresentation;
(c) breach of obligations under the Sale of Goods Act 1979 or the Supply of Goods and Services Act 1982;
(d) defective Products under the Consumer Protection Act 1987; or
(e) any matter for which exclusion or limitation of liability is prohibited by law.

12. Import duty
​
12.1 Products delivered outside the UK may be subject to import duties and taxes, payable by you upon delivery. We have no control over these charges and recommend contacting your local customs office for details.
12.2 You are responsible for ensuring compliance with all applicable laws and regulations of the destination country.

13. Written communications
​
Applicable laws require some communications to be in writing. By using our Site, you accept that communication will primarily be electronic. Notices and communications from us will comply with legal requirements for written communication.

15. Transfer of rights and obligations
​
15.1 The contract between you and us is binding on both parties and our respective successors and assignees.
15.2 You may not transfer, assign, charge, or otherwise dispose of a Contract, or any of your rights or obligations arising under it, without our prior written consent.
15.3 We may transfer, assign, charge, sub-contract, or otherwise dispose of a Contract, or any of our rights or obligations arising under it, at any time during its term.

16. Events outside our control
​
16.1 We are not liable for any failure to perform or delay in performance of our obligations under a Contract caused by events outside our reasonable control (“Force Majeure Event”).
16.2 A Force Majeure Event includes (but is not limited to):

Strikes, lockouts, or other industrial actions;

Civil unrest, riots, invasions, terrorist attacks, or war;

Fires, explosions, floods, earthquakes, epidemics, or other natural disasters;

Transportation disruptions;

Public or private telecommunications failures;

Acts of government or regulatory bodies.
16.3 Our obligations under a Contract will be suspended for the duration of a Force Majeure Event. We will make reasonable efforts to resolve the situation or find alternative means of fulfilling our obligations.

17. Waiver
​
17.1 Failure to insist on strict compliance with these terms does not constitute a waiver of any rights or remedies.
17.2 A waiver of any default does not constitute a waiver of subsequent defaults.
17.3 Waivers must be expressly stated in writing and communicated in accordance with clause 14.

18. Severability
​
If any provision of these terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to be enforceable to the fullest extent permitted by law.

19. Entire agreement
​
19.1 These terms, along with referenced documents, constitute the entire agreement between you and us, superseding all prior discussions and agreements.
19.2 Both parties agree that no representations or warranties outside this agreement are relied upon. Liability for fraud remains unaffected.

20. Our right to vary these terms and conditions
​
20.1 We may revise these terms from time to time. Changes will not affect Contracts already in effect unless required by law.
20.2 You will be notified of any changes before your order is dispatched, and it is assumed you accept such changes unless you notify us within seven working days of receipt.

21. Law and jurisdiction
​
Contracts and any disputes arising from them are governed by English law. Disputes are subject to the non-exclusive jurisdiction of the courts of England and Wales.
22. Third-party rights
​
A person not party to these terms has no rights under the Contracts (Rights of Third Parties) Act 1999.
